Terms of service

1The agreement

These terms are the agreement between BoreIQ ("we", "us") and you, the person or company using BoreIQ. By signing in or using the service you accept them. If you use BoreIQ for a company, you confirm you're allowed to accept these terms on its behalf, and "you" means the company too.

If your company has signed an order or founding-customer agreement with us, that agreement wins wherever it differs from these terms.

2The service

BoreIQ is job software for geotechnical and environmental drilling contractors. It covers quotes, jobs, daily driller's reports and invoices, and syncs with QuickBooks Online. It is new and changing quickly: we add and improve features often, and we may change or retire a feature. If a change takes away something your company relies on, we'll tell you ahead of time.

3Accounts

Accounts are by invitation. Your company's administrator decides who is invited and what each person can see. Keep your password and two-factor device to yourself, and tell us straight away at [email protected] if you think someone else has used your account.

You're responsible for what happens under your company's accounts.

4Your data

Your company owns everything it puts into BoreIQ. You give us permission to store, process and display it only as needed to provide the service to you. We don't sell it, we don't use it for advertising, and we don't use it to train AI models.

You can export your records as CSV at any time. How we handle personal information is described in our privacy policy.

5Using BoreIQ fairly

Please don't:

• use BoreIQ for anything illegal, or to store content you have no right to;
• try to get into accounts or data that aren't yours;
• upload malware, probe for weaknesses, or put unreasonable load on the service (if you find a security problem, tell us at [email protected]);
• resell or give access to BoreIQ to anyone outside your company without our okay.

We may suspend an account that does these things, and we'll tell you why.

6Check before you send

BoreIQ does the arithmetic and keeps the records, but you stay responsible for what you send your customers. Review quotes, daily reports and invoices before they go out, including any draft BoreIQ prepares for you. BoreIQ is not engineering, legal or tax advice.

7Fees

BoreIQ is priced per active rig per month. Your price, billing terms and any founding customer pricing are set out in your order or agreement. Prices don't include taxes, which are added where they apply.

8Other services

Some features connect to services we don't run, such as QuickBooks Online. Your use of those services is under their own terms, and we're not responsible for them. We only send them what you ask BoreIQ to send.

9Availability

We work to keep BoreIQ running and your data backed up every night, but we can't promise the service will never be interrupted. We'll try to schedule maintenance outside working hours and give notice of anything planned.

10Ending the agreement

You can stop using BoreIQ at any time. We can end the agreement if you seriously break these terms, or with reasonable notice if we stop offering the service. Either way, you'll have the chance to export your records as CSV before your account is closed and its data deleted.

11Warranties and liability

BoreIQ is provided "as is". As far as the law allows, we don't make promises about it beyond those in these terms or in your agreement with us.

As far as the law allows, we're not liable for indirect or consequential losses, such as lost profits or lost business, and our total liability to you is limited to what you paid us for BoreIQ in the 12 months before the claim. Nothing in these terms limits liability that the law doesn't allow to be limited.

12Changes to these terms

When these terms change, we'll update them here and change the date at the top. For changes that matter, we'll email account administrators before they take effect. Using BoreIQ after that means you accept the new terms.

13Governing law

These terms are governed by the laws of the state where BoreIQ is established. If we ever disagree, we'd like to hear from you first at [email protected]: most problems get solved with a conversation.
